Terms of Use for Verduona Apps
Version: 2026-10-17 · Identifier: terms-en@2026-10-17 · Effective: on publication
These terms apply to all apps and services of Verduona s.r.o. This English text translates the Czech version (Podmínky použití); if they differ, the Czech version prevails.
1. Who we are
Verduona s.r.o., company ID (IČO) 04013751, VAT ID CZ04013751, registered office Varšavská 715/36, 120 00 Praha 2, Czech Republic, registered in the Commercial Register kept by the Municipal Court in Prague, section C, file 241007 ("Verduona", "we"). Contact: [email protected].
2. Scope
"Apps" means all our products, whether hosted by us or on a customer's server:
- Agent Jack: web app (agentjack.kraliki.com, agentjack.dev and our other domains), desktop app, and the public setup repository github.com/m-check1B/agent-jack-setup;
- Siphone: an agent that handles leads from Meta ads (SMS, calls, CRM sync);
- Tržnice: an internal jobs market for a customer's company;
- SIMS: an intranet / management system for a customer's company;
- Sphere: licensing and sign-in (identity.verduona.dev, Google sign-in).
App-specific rules are in section 13.
3. Acceptance
3.1 By using any App (signing in, installing, launching or otherwise using it) you accept these terms. If you do not agree, do not use the App.
3.2 At first sign-in the App shows:
"By continuing you agree to the [Terms of Use] and acknowledge the [Privacy Policy]."
Clicking "Continue" accepts the terms. Sphere records who accepted which document version, when, and in which App.
3.3 If you use an App for a company, you confirm you may bind it. The company is then the contracting party ("Customer"); you are a "User".
3.4 A separate written agreement between the Customer and Verduona prevails over these terms where it differs.
3.5 The Privacy Policy is not a contract and needs no consent; it tells you how we handle data. Where the law requires consent (marketing, analytics cookies), we ask for it separately.
4. Test and pilot service
4.1 The Apps are under active development. Unless agreed otherwise in writing, they are a test or pilot service provided "as is" and "as available", without warranty of availability, freedom from errors, or fitness for a particular purpose.
4.2 We may change, add or remove features at any time. We will give advance notice of any material reduction of a paid service.
4.3 Keep your own copies of data you need. We provide an export on request.
5. Account and access
5.1 You sign in through Sphere (Zitadel) or with a Google account. Keep your credentials secret; you are responsible for activity under your account.
5.2 Report unauthorised access without undue delay.
5.3 Accounts are non-transferable. The Customer may add and remove Users.
6. Licence, payment and grace period
6.1 While your licence is valid, we grant you a non-exclusive, non-transferable right to use the App for your own purposes (for a Customer, for its business) within the purchased scope. Software, brands and know-how remain ours.
6.2 Prices, licence scope and payment terms are set in the offer, order or agreement. Prices exclude VAT unless stated otherwise.
6.3 Sphere verifies the licence, including for instances on a Customer's server.
6.4 Grace period: if the licence expires, is unpaid or cannot be verified, a 30-day grace period starts. The App keeps working and shows a warning. After 30 days the App is disabled until the licence is valid again. This does not delete data; deletion follows section 12.
6.5 Repeated or obvious breach of these terms (especially section 8) entitles us to restrict or end access without a grace period.
7. AI and bring-your-own-key (BYOK)
7.1 The Apps use third-party AI models (e.g. Anthropic, OpenAI, models via OpenRouter). AI output may be inaccurate, incomplete, outdated or inappropriate. Review it before use. You are responsible for decisions and actions based on AI output.
7.2 Agents can take actions on your instruction (send messages, change data in connected systems, run commands). You set their permissions and are responsible for actions you allowed.
7.3 BYOK: if you use your own API key or AI provider account, that provider's terms govern its processing and you are its customer. You are responsible for its costs, limits and terms. We do not resell AI tokens or credits.
7.4 We do not use your content to train AI models.
7.5 Where an App interacts with third parties (e.g. Siphone by SMS or phone), it tells them they are dealing with an automated system / AI.
8. Acceptable use
You must not, in particular:
- use the Apps unlawfully or to infringe others' rights (data protection, consumer, competition, copyright);
- send unsolicited commercial messages, call or text people without a legal basis, or ignore opt-outs ("STOP");
- circumvent licensing, security, limits or access restrictions, or probe others' data;
- disrupt operations, overload systems or spread malicious code;
- scrape third-party services in breach of their terms;
- present AI output as human work where the law forbids it, create deceptive content (deepfakes) or impersonate others;
- use the Apps for decisions with legal or similarly significant effects on people without human review;
- resell or provide the Apps to third parties without our consent.
On breach we may remove content, restrict or end access, and claim damages.
9. Customer data
9.1 Your data and content remain yours. You grant us the right to process them only as needed to provide the Apps.
9.2 Where we process personal data on your behalf (e.g. your customers', leads' or employees' data), we are your processor and the data processing agreement (Czech) applies; the Customer accepts it together with these terms unless it is signed separately.
9.3 You are responsible for having a legal basis for data you put into the Apps and for informing the people concerned.
10. Liability
10.1 We are not liable for lost profit, loss of data, lost business opportunities, or indirect or consequential damage.
10.2 Verduona's total liability for all claims arising from use of the Apps is limited to the amount the Customer paid for the affected App in the 12 months before the damage occurred; for free, test or pilot use, CZK 5,000.
10.3 These limits do not apply to damage caused intentionally or by gross negligence, to harm to a person's natural rights, or where the law does not allow a limit.
10.4 We are not liable for outages or errors of third-party services (AI providers, telephony, CRM, Meta, Google, hosting) or for force majeure.
10.5 The Customer indemnifies us against third-party claims arising from breach of section 8 or 9.3.
11. Changes
11.1 We may change these terms, in particular for new features, legal or security reasons.
11.2 We notify changes by email and in the App at least 30 days in advance (earlier where required by law or security). Continued use after the effective date means acceptance. If you disagree, you may terminate without penalty before the change takes effect.
11.3 The App may ask you to confirm a new version; Sphere records the confirmation (section 3.2).
12. Termination
12.1 The Customer may stop using an App at any time; a paid service can be terminated on 30 days' notice unless agreed otherwise.
12.2 We may terminate on 30 days' notice, or immediately for breach.
12.3 After termination you have 30 days to export your data. We then delete it; from backups within 90 days at the latest. We keep longer only what the law requires (e.g. accounting records).
13. App-specific rules
Agent Jack. An agentic assistant for businesses. The desktop app stores some data on your device; you are responsible for securing it. It updates automatically and checks the licence with Sphere. The public agent-jack-setup repository is governed by the licence in that repository; these terms govern the service it connects to.
Siphone. Handles leads from Meta ad forms: contacts them by SMS (Twilio) and phone (OptimCall / Odorik) and writes to the CRM (RayNet). The Customer (or its client) is the controller of lead data; we are the processor. The Customer is responsible for the legal basis for contact and for message content. Every SMS allows opt-out by replying "STOP"; opted-out numbers are not contacted again. Calls and SMS may be handled by an automated system / AI, and we say so.
Tržnice and SIMS. Internal systems for one company (the Customer). Users are its employees and contractors acting on the Customer's instructions. The Customer is the controller.
Sphere. Sign-in and licensing for all Apps. Google sign-in is also subject to Google's terms.
Instances on a Customer's server. The Customer is responsible for running, securing and backing up the server. We access it only for support and updates, if the Customer grants access. Sphere verifies the licence.
14. Consumers
The Apps are intended for businesses. A consumer keeps all rights the law grants that cannot be limited by contract; provisions conflicting with them do not apply to the consumer. Consumers may use the Czech Trade Inspection Authority (www.coi.cz) for out-of-court dispute resolution.
15. Governing law and courts
15.1 Czech law applies, in particular Act No. 89/2012 Coll., the Civil Code. The UN Convention on Contracts for the International Sale of Goods does not apply.
15.2 Disputes are decided by the competent court in Prague (venue by Verduona's registered office). A consumer may also sue at the court of their residence.
16. Final provisions
16.1 If any provision is invalid, the rest remains in force.
16.2 We communicate by email and in the App; these count as written form.
16.3 Questions: [email protected].
